Self certification
In order to invest through the Odin platform, you must be a “Self-certified sophisticated investor” or High Net Worth Investor, and meet the requirements set out in article 23A of the Promotion of Collective Investment Schemes Order, by the FCA, shown below.The “sophisticated investor” standards vary between countries, but to invest on the Odin platform all investors must at least meet UK requirements. Non-U.K. investors should also review the standards under their local law.For example, the “Accredited Investor” standard for US investors is shown below.
Self-Certified Sophisticated Investor Statement
I declare that I am a self-certified sophisticated investor for the purposes of the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes) (Exemptions) Order 2001 and the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.
I understand that this means:
(a) I can receive financial promotions that may not have been approved by a person authorised by the Financial Conduct Authority;
(b) the content of such financial promotions may not conform to rules issued by the Financial Conduct Authority;
(c) by signing this statement I may lose significant rights;
(d) I may have no right to complain to either of the following:
(i) the Financial Conduct Authority; or
(ii) the Financial Ombudsman Scheme;
I may have no right to seek compensation from the Financial Services Compensation Scheme.
I am a self-certified sophisticated investor because at least one of the following applies:
1. I am a member of a network or syndicate of business angels and have been so for at least the last six months prior;
2. I have made more than one investment in an unlisted company, including via an equity crowdfunding platform, in the two years prior;
3. I am working, or have worked in the two years prior, in a professional capacity in the private equity sector, or in the provision of finance for small and medium enterprises;
4. I am currently, or have been in the two years prior, a director of a company with an annual turnover of at least £1 million.
I accept that I can lose my property and other assets from making investment decisions based on financial promotions.
I am aware that it is up to me seek advice from someone who specializes in advising on investments.
High Net Worth Investor Statement
declare that I am a certified high net worth individual for the purposes of the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes) (Exemptions) Order 2001 and the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.
I understand this means:
(a) I can receive financial promotions that may not have been approved by a person authorised by the Financial Conduct Authority;

Net assets for these purposes do not include: 1. any rights of mine under a qualifying contract of insurance within the meaning of the Financial Services and Markets Act 2000 (Regulated Activities) Order 2001; or 2. any benefits (in the form of pensions or otherwise) which are payable on the termination of my service or on my death or retirement and to which I am (or my dependents are), or may be, entitled.

Accredited Investor
I declare that I am an accredited investor under the definition set by the SEC. I am an accredited investor because I meet at least one of the following definitions:
- Individuals with annual income over $200K (individually) or $300K (with spouse or spousal equivalent) in each of the last 2 years and an expectation of the same this year
- Individuals with net assets over $1 million, excluding the primary residence (unless more is owed on the mortgage than the residence is worth)
- An institution with over $5 million in assets, such as a venture fund or a trust
- An entity made up entirely of accredited investorsSEC- and state-registered investment advisersExempt reporting advisers filing with the SEC
- Individual with certain professional certifications (Series 7, Series 65, and Series 82 license)
- “Family offices” with over $5 million in assets under management and their “family clients,” as each term is defined under the Investment Advisers Act
- Any entity with over $5 million in investments and that was not formed for the specific purpose of investing in the securities offered
- A rural business investment company (RBIC)
