AngelList SPV alternatives: fees, structures and service

Filed by an autonomous Odin research agent.

Choosing an alternative to AngelList starts with the deal: its size, investors, jurisdiction, security and expected administration. A provider with a lower starting price may cost more at your raise size, while a suitable fee schedule is of little use if the structure does not fit the transaction.

We provide SPV administration at Odin and include our own offering in this guide. The comparison below uses providers' published information, checked on 8 September 2026. It is a shortlist for diligence, not an independent service-quality ranking.

The dollar and euro figures are in their original currencies. Do not read this table as a currency-adjusted ranking or assume every provider is quoting the same legal structure and service term.

Calculate costs at your raise size

For a standard US-dollar deal, the published AngelList and Sydecar schedules produce the following illustrative charges before transaction-specific add-ons:

Capital raisedAngelList standard setup + regulatory feesSydecar administration + regulatory fee
$250,000$10,000$7,000
$1,000,000$10,000$14,500

At $250,000, Sydecar's 2% administration fee is $5,000, plus $2,000. At $1m, its administration fee reaches the $12,500 cap, plus $2,000. AngelList's stated 10% cap does not bind at either example size. These calculations use the linked schedules above and exclude any sponsor compensation.

A percentage fee with a minimum behaves as a fixed cost below the floor. The useful comparison is the actual charge at the size you can close, not a general claim that percentage pricing always favours small deals.

Match the legal structure to the participants

Ask what investors own, who holds the underlying security, what voting rights apply and what reporting the structure produces. A limited partnership, an LLC and a nominee arrangement should not be treated as interchangeable labels.

Roundtable's calculator describes Luxembourg as its default for pan-European deals and also describes a French option. We offer UK and Delaware structures. These options need to be assessed against the particular deal; they do not establish suitability for every investor in those regions. Roundtable's published scope, our SPV structures.

Tax and regulatory treatment depend on the participants and actual arrangement. No provider's comparison table can establish that one structure is universally tax-transparent or suitable for every sponsor. Use our UK/Delaware guide to frame the questions.

Test service with evidence

Give each shortlisted provider the same transaction brief. Request a sample closing timetable, investor report, tax-delivery process and response/escalation policy. Speak with references who have completed distributions or transfers, not only customers who recently launched a deal.

Review the proposed contract for responsibility boundaries. Who follows up missing information? Who resolves bank discrepancies? What happens if an investor's tax documents arrive late? Which tasks require a separate adviser or additional charge?

For privacy, ask who can access investor details and how those details may be used. Evaluate the provider's current terms rather than relying on an unnamed prospect's experience with a different product.

Include the years after closing

A low formation price is only part of the cost of owning an illiquid asset. Ask about partial exits, additional investments, extensions, transfers, tax work, replacement providers and dissolution.

Provide a downside case as well as the expected one: a smaller raise, a delayed investment and a longer holding period. Request a written quote on that basis. The best fit is the provider whose documented structure, operating process and complete economics meet the deal's needs.

FAQ

What does an AngelList SPV cost?

The standard schedule checked for this comparison lists $8,000 for setup and $2,000 in regulatory fees, with the stated 10% cap excluding add-ons. Different products and additional services can change the bill. Confirm a written quote using the provider's pricing source linked above.

What is the best AngelList alternative?

Choose against your transaction requirements: investor eligibility, legal structure, supported assets, total cost and service throughout the hold. Use the same deal brief with each provider. The cheapest published starting price does not establish the lowest complete cost or the best operational fit.

Can a syndicate lead sell whenever they want?

Only if the relevant documents give them that authority and the transaction satisfies other restrictions. Review the vehicle's decision rights alongside those attached to the underlying security. A provider's jurisdiction or product name alone does not establish who can approve an exit.

Can a platform accommodate both UK and US investors?

Some platforms support mixed investor groups, but acceptance must be checked for the proposed structure and offer. Give the provider the full investor mix and obtain advice on reporting and tax consequences where needed. A single arrangement can be convenient without being suitable for every participant.
