Choosing between a UK and Delaware investment structure starts with the transaction and its participants. Where investors and the sponsor are based matters, but so do the asset, the security, decision rights, reporting needs and tax treatment.

“UK SPV” and “Delaware SPV” each cover several legal forms. This guide focuses on a UK nominee/bare-trust arrangement and a Delaware limited partnership, including a series structure. Our SPV and Delaware product pages explain the options we offer. The transaction documents establish the terms of a particular deal.

Start with what the investor owns

Under a nominee arrangement, the nominee holds legal title to an asset for the beneficial investors. A bare trust describes that relationship; it is not itself an incorporated company.

An investor in a limited partnership instead holds a partnership interest. The partnership's assets and the investor's economic and governance rights are dealt with under the partnership agreement and applicable law.

This ownership distinction is more useful than assuming that one jurisdiction always offers more control or lower tax.

Read the decision rights

Identify who can approve an investment, sell the stake, exercise shareholder votes, accept amendments and appoint a replacement service provider. Then check how those powers interact with company-level rights such as drag-along provisions and transfer restrictions.

A majority exit vote can be a product feature. It is not a universal rule for every bare trust. Equally, a Delaware partnership can give limited partners voting rights and constrain the sponsor. Delaware's series provisions expressly allow rights to be set through the partnership agreement, while liability separation depends on statutory conditions. Delaware Code, §17-218.

Consider a sponsor who expects to accept a time-limited secondary offer. The useful questions are how consent is obtained, whether non-responses count, what conflicts procedure applies and who can sign. The word “Delaware” does not answer them.

Investor admission involves several different rules

US securities-offering rules and investment-company exclusions are separate from each other. Rule 506(b), for example, permits an offering to accredited investors and a limited number of qualifying sophisticated non-accredited purchasers, subject to its conditions. A platform may adopt a narrower admission policy. SEC: Rule 506(b).

Section 3(c)(1) generally uses a limit of no more than 100 beneficial owners, with a separate qualifying venture-capital-fund exception. Section 3(c)(7) instead concerns qualified purchasers. Counting and look-through rules can matter when an investor is itself an entity. Do not treat “accredited”, “qualified purchaser” and “under the investor limit” as interchangeable checks. Investment Company Act, section 3.

A UK sponsor operating a US vehicle also needs to consider the rules applying to its own activities. Formation overseas does not answer whether it is arranging, advising or managing from the UK. Investor self-certification is not a substitute for that assessment.

Resolve tax and reporting before accepting subscriptions

Ask how each relevant jurisdiction classifies the arrangement, what income may arise, whether withholding applies and what information investors will receive. A vehicle described as transparent in one country may be treated differently elsewhere.

For UK investors seeking EIS or SEIS relief, establish the eligibility of the new share subscription and the investor's route to beneficial ownership. A company being eligible does not make every investment in it eligible, particularly purchases of existing shares. See HMRC’s investor guidance on EIS and SEIS.

For US investors, clarify partnership reporting where applicable and the expected information-delivery timetable. Avoid promising that receiving no K-1 means having no tax reporting obligations. Sponsor carry needs its own tax analysis; the state of formation does not determine the recipient's tax rate.

Compare operations on the same basis

Request a written schedule covering formation, investor onboarding, currencies, closing conditions, ongoing reporting, transfers and distributions. Compare all-in costs for the same transaction and investor mix, including any later-event charges.

Finally, establish the cash chain: account holder, bank, custodian where relevant, payment authority and continuity arrangements. Separate bank accounts and ledger allocations are different things. Our SPV cash guide sets out the questions to ask.

A suitable structure is one the sponsor can operate and investors can understand throughout the holding period. Choose it before setting expectations about tax benefits, voting rights or closing speed.

FAQ

Is the UK structure discussed here the same as a property SPV?

No. This guide examines a nominee/bare-trust holding arrangement for investments, alongside a Delaware partnership. A property SPV is commonly a company established to hold property. The shared abbreviation does not make their ownership, liabilities or tax treatment equivalent.

Can US investors invest through a UK bare trust?

Some arrangements accept US investors, but confirm admission and the US classification of the specific holding. Establish what information will support the investor's filings. The absence of a Schedule K-1 does not establish the absence of reporting obligations or a favourable tax outcome.

Do you use an LLC for Delaware SPVs?

No. Our Delaware SPVs use a Series LP structure. An LLC is a different legal form, even though both can be used for investment vehicles. Check the actual formation and partnership documents, including the conditions supporting separation between series. Our Delaware SPVs.

Does a UK bare trust always require a majority vote to sell?

No universal rule follows from that label. A majority-vote mechanism may be part of a particular provider's arrangement. Read the trust, nominee and shareholder terms for authority, thresholds and reserved decisions, and assess the regulatory position separately.

Which structure is quicker to launch?

It depends on document readiness, investor checks, the asset and the provider's process. Formation or a live invitation page is not the same as a funded closing. Request a timetable for the full transaction, including exceptions, instead of relying on a general launch-time claim.
