Where SPV cash is held: ownership and payment controls

Cash committed to an SPV may pass through several arrangements before it buys an investment. It can sit in a client account, an escrow arrangement or the vehicle's own bank account, depending on the structure and stage of the transaction.

The useful question is not simply which bank receives the wire. Establish who owns the money, who holds the account, who can move it and what happens if the deal or a service provider fails.

Trace the money through the deal

StageWhat to establishEvidence to request
SubscriptionWhen the investor becomes committed and where funds must be sentSubscription terms and verified payment instructions
Before closeWho holds cash, for whom, and on what conditions it can be releasedAccount/escrow/client-money description and closing terms
InvestmentWho checks conditions and authorises the paymentApproval process and completed transaction records

Ask for an explanation specific to the vehicle. A general description of a provider's UK service may not apply to its Delaware partnership product.

A bank account and a ledger are different

A bank account is an account at the bank. A ledger records who is entitled to amounts within an accounting system. Separate ledger balances can exist inside a pooled account; a separate legal vehicle does not by itself tell you whether it has its own account.

Neither description settles the quality of the controls. The operator needs accurate records, reconciliation between bank and ledger balances, and a process for investigating discrepancies. Where money is held for several clients or vehicles, the records must identify the relevant entitlements.

Ask how often reconciliations happen, who reviews exceptions and how money awaiting allocation is handled. “Ring-fenced” is too imprecise to answer those questions on its own.

Segregation and bank protection address different risks

Segregation is intended to distinguish client or vehicle property from another party's own assets. Bank deposit protection concerns an eligible depositor's position when a covered bank fails. A clear ledger is not a guarantee that every pound in a bank account is insured.

For UK deposits, FSCS explains that protection depends on the account arrangement, eligibility and the authorised bank. Its current standard limit is £120,000, with aggregation across relevant accounts. For certain bare-trust or client arrangements, eligible beneficiaries may have protection individually, but their other deposits with the same bank can affect the total. A company's own account can have a different treatment. FSCS deposit protection guidance.

Do not apply that headline limit to an SPV without identifying the bank, account holder, beneficial ownership and relevant exclusions. Overseas accounts require their own analysis. Protection for cash deposits also does not insure the subsequent investment against losing value.

Payment authority should be explicit

Separate the right to make an investment decision from the ability to execute a bank payment. A sponsor may approve a transaction while an administrator prepares the payment and another authorised person releases it.

Useful controls include independently verified bank-detail changes, approval limits, a clear audit trail and more than one person involved in sensitive payments. A message from a familiar email address should not be the only evidence supporting a changed destination account.

Investors should also know the contractual withdrawal cut-off. Money remaining in an account does not necessarily mean the investor remains free to withdraw it: a binding commitment, instruction or completed subscription may already exist.

Ask what happens when something goes wrong

A failed close raises different questions from a failed bank or administrator. Establish who can return subscriptions, whether expenses have already been incurred and how refunds will be calculated.

For administrator failure, ask who can obtain the records, appoint a replacement, instruct the bank and communicate with investors. A custodian or payment signatory may have a limited function; its involvement does not establish a commitment to run every aspect of the vehicle indefinitely.

Interest also deserves a clear answer. Find out whether the account earns interest, who is entitled to it and how it is allocated. Beneficial ownership does not make interest impossible; the arrangement and applicable terms govern its treatment.

What to request before sending funds

Obtain the legal recipient's name, bank details through a verified channel, the account's role, release conditions and a contact for discrepancies. Match these with the subscription documents and keep the confirmation.

We explain the structures we offer on our SPV product page. For a deal on our platform, use the deal documents and current payment instructions to establish the actual cash arrangement. A statement about an earlier banking event cannot establish where a new subscription will sit today.

FAQ

Is SPV cash covered by the Financial Services Compensation Scheme?

Coverage depends on the eligible depositor, account arrangement and authorised bank. The £120,000 standard UK limit is subject to aggregation and applicable exclusions; some beneficiary arrangements need look-through analysis. The FSCS guidance linked above explains the conditions. Deposit protection does not insure the investment bought with the cash.

Does each SPV have its own bank account?

Not necessarily. Some arrangements use a vehicle account; others allocate interests within a pooled account using ledgers. Ask for the specific account holder, ownership and reconciliation process. Separate legal interests or ledger balances should not be presented as evidence that separate bank accounts exist.

What happens if you stop operating?

For a deal we administer, continuity depends on the contracts and each party's authority. Establish who holds the assets and records, who can instruct payments and who can appoint a replacement. A custodian's role in holding assets does not automatically extend to accounting and investor service.

Are you FCA-regulated?

Our company, Join Odin Limited (FRN 962398), is an appointed representative of Hurricane Capital UK Limited (FRN 489839), which is authorised and regulated by the FCA. We operate under that appointed-representative relationship; this does not make us a directly authorised firm. You can check the relevant entity and scope in the FCA Register. Our regulatory disclosure.

Can I withdraw while the cash is still in the account?

Only if the relevant commitment and withdrawal terms permit it. Account location does not establish whether an obligation has already become binding. Identify the cancellation cut-off and treatment of incurred expenses before sending funds, rather than assuming uninvested cash is always available on request.
