When a founder asks how much a syndicate can invest, the useful answer includes an amount, a deadline and the conditions still outstanding. “We have £300,000 of interest” does not tell the founder whether £300,000 will reach the company's account.

Allocation management connects two agreements: what the company will accept and what the investors have committed to fund. The lead needs to keep those numbers consistent as checks, signatures and payments arrive.

Define the number before quoting it

Establish whether the proposed allocation means money reaching the company or total subscriptions into the vehicle. If expenses come out of subscriptions, the two amounts differ.

For example, a £200,000 company investment plus an assumed £8,000 of vehicle costs requires £208,000 from investors. If £200,000 is collected in total, only £192,000 reaches the company under those assumptions.

Confirm the fee basis before using a calculation like this. Costs may have minimums, caps or percentage components. Our SPV provider comparison shows why the actual schedule matters more than the headline rate.

Also distinguish a provisional reservation from a binding funding commitment. The relevant documents determine the obligation; an informal description of interest cannot settle it.

Build a closing book, not one total

Use mutually exclusive stages so the same investor is not counted repeatedly. A useful book records amount, status, outstanding conditions, payment deadline and the person responsible for resolving each exception.

Here is an illustrative position three days before closing:

StatusAmountWhat remains
Cleared funds with completed documents and checks£160,000Final closing conditions
Signed subscriptions, payment outstanding£35,000Receipt and reconciliation of funds
Verbal interest only£45,000Checks, agreement and funding
Total across all stages£240,000

The book contains £240,000 across those stages. It does not contain £240,000 ready to invest. Even if all signed investors fund, the £195,000 collected would leave a £13,000 gap against the £208,000 requirement above.

Send the founder the information needed to plan: the funded amount, the likely next amount and the unresolved gap. Avoid turning a prospective investor's enthusiasm into someone else's financing certainty.

Agree a minimum and a hard cap

A minimum close should reflect the transaction's requirements, including fixed costs and the company's willingness to accept a smaller cheque. A hard cap should reflect the allocation actually available and the vehicle's terms.

Before the deadline approaches, agree what happens if the minimum is missed. Possibilities include a revised company allocation, an extension, another eligible investor or cancellation under the relevant terms. A lead should not imply a personal obligation to fill the gap unless that obligation has actually been accepted.

If the company permits multiple closes, specify which subscriptions enter each close and how expenses are allocated. Late money may not acquire the same security on the same date.

Choose an oversubscription rule before it matters

If £250,000 of eligible investor demand exceeds a £208,000 total subscription cap, an equal proportional scaling policy would allocate 83.2% of each requested amount. A £25,000 request becomes £20,800, before any minimum-ticket or rounding rules.

That is one possible policy, not a mandatory method. Previously promised allocations, strategic investors and minimum contributions may require a different arrangement. Explain the policy and material exceptions early enough for investors to make an informed decision.

Recalculate the costs after scaling and distinguish capital never collected from money that must be refunded. Preserve each investor's final accepted amount in the signed and accounting records.

Leave an exception window

The last day should resolve a small number of identified issues, rather than begin onboarding the largest investor. Work backwards from the company's deadline to allow for document review, eligibility checks, payment processing and bank-detail verification.

An investor who needs a different legal entity or signatory may require more than a corrected name in a spreadsheet. Identify that early and update the book when the underlying facts change.

Before releasing funds, reconcile accepted subscriptions, completed checks, expenses and cash with the final company investment. Record who confirmed the closing conditions and payment instructions.

Learn from the gap between the book and the close

After closing, review which signed amounts funded late, which indications disappeared and which conditions caused delay. Use that evidence to improve the next timetable and the amount you are prepared to communicate.

The lead's credibility comes from making the closing position legible. A founder can plan around a smaller well-supported cheque more easily than a larger number whose conditions remain hidden.

FAQ

How much allocation should a syndicate take?

Request an amount supported by your investors' funding history and the current closing book. Tell the founder how much is cleared, how much remains conditional and when you can confirm the balance. Express the allocation as the company's net investment amount if costs will be funded separately.

How many investors can be in one syndicate deal?

There is no universal syndicate limit. The answer depends on the vehicle, applicable exemptions, investor characteristics and any provider restrictions. Counting rules can also look through investing entities. Confirm the permitted investor base before marketing the allocation; do not assume that everyone who expresses interest can join.

Does the platform fee change the allocation I should commit to?

Yes, when it changes the money available for the company or the economics of the minimum close. Calculate the actual fee at the intended raise size, including any floor and cap. Record who pays it so the founder's allocation and the investors' total subscriptions reconcile.
