VC fund administration: assess a provider's staying power

A fund administrator may need to support a vehicle long after its last new investment. Choosing one therefore involves a question that a formation demo cannot answer: can the fund keep operating if the provider loses key staff, changes ownership or stops delivering the service?

No diligence process can guarantee a supplier's survival. It can assess resilience and make replacement workable. Both belong in the selection process.

Define the service that must continue

List the recurring work for each entity: accounting records, investor balances, capital calls, distributions, reporting, tax coordination and corporate actions. Identify who supplies inputs and who approves outputs.

Then distinguish tasks by urgency. A delayed routine report is different from being unable to process a time-sensitive distribution or shareholder consent. The continuity plan should reflect those differences.

For firms within the relevant rules, the FCA's outsourcing requirements address operational risk and continuing responsibility. Their application depends on the firm and activity; they should not be presented as a single rule applying identically to every investment vehicle. FCA SYSC 8.

Ask how the provider funds the service

Request financial information appropriate to the provider and engagement. Discuss profitability or cash runway, ownership support, customer concentration and the resources allocated to the relevant business line.

An unwillingness to publish private financial statements is not itself proof of weakness. It does mean the provider should offer a credible alternative way to support material claims about resilience, such as confidential diligence or relevant parent information.

Examine the economics of a long-lived engagement. If the provider charges heavily upfront, what funds the work in later years? If annual prices can change, how are increases controlled? The concern is whether the commercial model supports the service promised, rather than whether the first quote is unusually low or high.

Look beyond the account lead

Ask who actually performs and reviews the work, where they are based and who covers absences. Determine whether knowledge is documented or concentrated in one person.

Include subcontractors and critical systems. Which functions depend on another firm? Can the provider change that arrangement without notice? What access would the manager have if a subcontractor relationship ended?

A strong brand at the front of the engagement does not answer those questions. References should concern comparable structures and difficult events, including corrections, staff changes and completed distributions.

Make portable records a contractual requirement

The manager needs more than downloadable reports. A successor may require transaction histories, supporting documents, investor records, governing agreements, calculation methods and reconciliation evidence.

Agree ownership and access rights, export formats, delivery frequency and retention. Preserve appropriate security and privacy controls during transfers. Records should be usable by authorised parties without depending on one departing employee's login.

Software choice is a related but separate issue; our fund-administration software guide examines systems. Here the question is whether the information needed to continue the service can move when the relationship changes.

Run a handover exercise before there is a crisis

Choose a sample period and ask the provider to assemble the records a successor would need. Have an appropriate independent reviewer test whether they can follow an investor balance from opening position through transactions to the closing statement.

Include an awkward event: a late close, corrected allocation, partial disposal or distribution with deductions. The exercise should reveal which explanations live only in someone's memory.

Record the time required, missing inputs and decisions needed from the manager. Fix material gaps and agree how the exercise will be repeated proportionately during the engagement.

Negotiate the exit while the relationship is good

Contract pointPractical objective
Termination triggers and noticeA usable route out of persistent service failure
Transition assistanceNamed work and cooperation owed during handover
Data deliveryTimely access in usable formats
Transition chargesCosts that can be budgeted and challenged
Replacement authorityClarity on who can appoint and instruct a successor
Banking and payment accessContinuity of authorised control outside the administrator's systems

Do not assume a custodian, bank or software vendor will take over administration automatically. Each party's role must be agreed.

After appointment, monitor unresolved reconciliations, delivery delays, staff turnover and changes to the provider's structure. A credible administrator can explain both how it intends to remain a reliable supplier and how the fund can continue if that expectation fails.

FAQ

What does a venture capital fund administrator do?

The engagement can cover accounting, investor records, calls, distributions, reporting and tax coordination. Its scope must be agreed, including inputs and approvals required from the manager. Administration support does not by itself include responsibility for selecting investments or independently validating every company claim.

What happens if the fund administrator shuts down?

The fund needs access to usable records, authority to appoint and instruct a successor, and continuity of banking and other services. Those arrangements must be established in advance. A separate custodian does not automatically inherit all the administrator's duties or guarantee an uninterrupted transition.

Is a fund administrator necessarily regulated?

Its regulatory position depends on the entity, activities and jurisdiction. Identify which party performs any regulated function and verify its status and scope. A group-level brand, an appointed-representative relationship or a regulated subcontractor should not be treated as permission for every service in the engagement.

How much does VC fund administration cost?

The price depends on structure, investor count, reporting, activity and service duration. Compare complete written quotes, including extensions and transition charges. A one-off formation or platform fee and a full fund-administration engagement may cover different work, so their starting prices are not directly comparable.
