What is a solo GP? Build the investment role before the fund

“Solo GP” usually describes a firm's sole principal investor, who leads its investment decisions. A solo-led firm can still employ staff, use advisers and maintain independent checks.

The distinction matters. One person can own the investment judgement while relying on others for administration, legal work, accounting and operational review. Designing that division of work is more important than trying to perform every task alone.

Separate the investment role from the legal title

“General partner” has a specific meaning in a partnership structure. People also use “solo GP” more broadly to describe an individual-led investment practice. The actual legal roles depend on the entities and agreements used.

Someone can develop an investment record through personal investments, an appropriately structured scout programme or deal-specific vehicles before managing a committed fund. The relevant legal and regulatory requirements still depend on the activity; starting small does not create a general exemption.

The first design question is what decisions you intend to make and for whom. A personal investor and a manager responsible for other people's capital take on different obligations.

Assign each task to a person or provider, with a deadline and a backup. “Outsourced” is not a complete responsibility description.

Preserve challenge around a single decision-maker

A solo structure can make investment decisions quickly. It can also make it easy for one person's assumptions to go untested.

Create a repeatable challenge process: a specialist reviews the difficult technical claim, a trusted peer examines the strongest reason to pass, or an adviser tests the economics. Obtain permissions before sharing confidential materials and disclose relevant conflicts.

The reviewer does not need to become a second investment principal. Their job is to make missing evidence and weak reasoning visible before the decision is final.

Keep the record of the challenge, including where you disagreed and why. That provides a more useful learning history than a memo rewritten to make every decision appear obvious afterwards.

Design controls that survive a busy week

Payment preparation, recipient verification and release should follow the agreed control process. Avoid arrangements in which an unverified change to bank details can flow from one inbox directly to a transfer.

For reporting, reconcile transactions and review exceptions before statements are issued. For valuations, preserve the information and judgement supporting material changes.

Automation can reduce repetitive work, but it should have a clear review boundary. Our AI workflow guide for solo GPs explains how to test whether tools save time after verification costs are included.

Plan for absence and incapacity

Ask what happens if the principal is unavailable for a month. Who can answer a portfolio-company request, authorise routine obligations or access the records? Which investment decisions must pause?

A continuity plan needs legal authority as well as passwords and contact details. Align governing documents, provider engagements and any key-person provisions with the intended response. Make sure named backups have agreed to the role.

Review the plan when the portfolio, family circumstances or operating team changes. A document created at formation can become inaccurate long before it is needed.

Decide when a fund improves the model

A committed fund may fit when the strategy needs predictable capital and the principal has the process, operating resources and investor support to manage it. It is not a prerequisite for making the first thoughtful investment.

Before raising, test the workload and business budget against a realistic closing size. The fund-versus-deal-by-deal analysis provides a worked comparison. A credible solo practice is defined by clear authority, sustainable work and dependable controls; the capital structure should support that practice.

FAQ

Is a solo GP the same as an angel investor?

The terms overlap in practice but describe different things. Angel investing generally means investing personal capital; a solo-GP firm has one principal investment decision-maker and may manage others' capital. A person can do both. Identify their actual role and obligations in the transaction being considered.

Does a solo GP need to raise a fund?

An investor can build a practice and record before running a committed fund. The legal general-partner role depends on the structure, while the industry label is used more broadly. Choose the capital arrangement around the work and authority required, rather than treating the label as a mandatory career sequence.

Does “solo” mean doing every task alone?

No. The principal can use staff, specialists and service providers while retaining the intended investment role. Map preparation, review and approval responsibilities explicitly. Outsourcing a task does not ensure it is completed properly unless the inputs, authority and accountability are also clear.

What happens if the sole decision-maker becomes unavailable?

The documents and continuity arrangements should identify who can act, what decisions pause and how records remain accessible. Named backups need appropriate authority and must have accepted the role. Password access alone does not permit someone to make an investment or instruct a payment.
